Supplier may, upon not less than thirty (30) days’ prior written notice, increase the Rental Payments effective January 1 of each year by the greater of (a) the percentage increase in the Consumer Price Index (All Urban Consumers, U.S. City Average) during the preceding twelve-month period, or (b) three and one-half percent (3.5%). All amounts due under these Terms shall be paid in U.S. dollars without setoff, counterclaim, deduction, or withholding of any kind. Prices for Supplier to retrieve the Equipment at the end of the Contract Period are subject to change unless otherwise stated. All payments including but not limited to delivery, installation and retrieval of Equipment are payable in accordance with Order or the Supplier’s other written instructions. If Customer fails to make any Rental Payment or if Equipment is damaged or lost, Supplier may apply the Security Deposit against such amounts. Upon any such application, Customer shall promptly pay to Supplier such amount as is required to fully reinstate the Security Deposit. Supplier shall be under no obligation to fulfil any of its obligations hereunder until Customer has paid the Security Deposit.

7. Late Payments. If Customer fails to pay any amount due under these Terms by the applicable due date, Supplier may charge interest on the overdue amount at the rate of four percent (4%) per annum above the prime rate published by The Wall Street Journal (or its successor), compounded monthly, from the due date until the date of payment in full. Payment of any late charge or interest does not excuse Customer from any default under these Terms.

8. Maintenance and Service. If agreed, Supplier may carry out preventative maintenance of the Equipment at dates to be mutually agreed. Customer shall permit Supplier access to the Site to perform the Services during regular business hours. Supplier shall be responsible for the maintenance of the Equipment and all associated costs, parts, labor, and replacements (excluding upgrades), except for repairs and replacements arising from misuse, neglect, or malicious damage by any person other than Supplier. Customer shall ensure that properly trained personnel operate, clean, and care for the Equipment in accordance with Supplier’s instructions. Customer shall be responsible for maintaining the Equipment in the same condition as on delivery (reasonable wear and tear excepted). In the event of a malfunction rendering the Equipment incapable of use, Supplier shall use commercially reasonable efforts to dispatch a qualified technician to the Site within twenty-four (24) hours of notification (unless the location of the Site makes such response time impracticable). If any malfunction is caused by misuse, neglect, improper operation, or any cause not inherent to the Equipment, Supplier may charge Customer for all repair and call-out costs at Supplier’s then-standard rates. Equipment must be deep cleaned by Customer before being returned to Supplier. If the Equipment is not cleaned to an acceptable standard, as determined by Supplier acting reasonably, Supplier may charge Customer for the reasonable costs of cleaning.

9. Customer Responsibilities. During the Contract Period, Customer shall (i) clean the Equipment regularly and in accordance with Supplier’s instructions; (ii) ensure that the Equipment is stored and used in a suitable environment; (iii) take such steps to ensure that the Equipment is safe and without risk to health when being operated, cleaned or otherwise engaged with; (iv) make no alteration to the Equipment; (v) allow Supplier access to the Site to inspect the Equipment on reasonable notice; (vi) not move the Equipment without Supplier’s prior written consent; (vii) not remove or alter the Supplier’s marks on the Equipment; (viii) not allow the Equipment to be sub-let, sold, mortgaged, charged or otherwise dealt with.

10. Risk of Loss. The risk of loss, theft, damage, or destruction of the Equipment shall pass to Customer upon delivery and shall remain with Customer throughout the Contract Period until the Equipment is returned to and accepted by Supplier. Customer shall give immediate written notice to Supplier of any loss, accident, or damage to the Equipment. Supplier shall, in its sole discretion, determine whether damage to Equipment requires repair or replacement. If any Equipment is lost, stolen, or damaged beyond repair during the Contract Period, Customer shall pay to Supplier the full replacement value of such Equipment as reasonably determined by Supplier, less any insurance proceeds received by Supplier. Supplier may elect to invoice Customer for such payments during or at the end of the Contract Period. If any Equipment is returned to Supplier damaged, Supplier may recover the costs of repair or replacement (at its sole discretion) from Customer through retention of the Security Deposit and/or by issuing an invoice for such costs, which shall be payable within 14 days of Customer’s receipt thereof.

11. Insurance. Customer shall, at its sole cost and expense, obtain and maintain at all times during the Contract Period (and any period during which the Equipment remains in Customer’s possession, custody, or control) all-risk property insurance covering the Equipment in an amount not less than the full replacement value thereof, insuring against all risks of physical loss or damage, including without limitation fire, flood, theft, vandalism, and accidental damage. Such insurance shall (a) name Supplier as loss payee with respect to the Equipment, (b) be issued by an insurer licensed to do business in the state where the Equipment is located and having an A.M. Best rating of at least “A-VII” (or equivalent), (c) provide that the insurer shall give Supplier not less than thirty (30) days’ prior written notice of cancellation, non-renewal, or material change in coverage, and (d) be primary and non-contributory with respect to any insurance maintained by Supplier. Customer shall deliver to Supplier certificates of insurance and loss payee endorsements evidencing such coverage (i) prior to delivery of the Equipment to the Site, and (ii) upon each renewal of such insurance, and (iii) at any other time promptly upon Supplier’s written request. If Customer fails to obtain or maintain the required insurance, Supplier may (but shall not be obligated to) procure such insurance on Customer’s behalf, and Customer shall reimburse Supplier for all premiums and costs so incurred within ten (10) Business Days of demand or charge an additional damage waiver to the Customer. Customer’s obligation to maintain insurance under this Section shall not limit or diminish any of Customer’s other obligations or liabilities under these Terms.

12. Early Termination. If at any point after an Order is placed Customer terminates or requests to terminate the rental prior to the expiration of the Minimum Rental Period, or if Supplier terminates the rental due to an Event of Default by Customer, Customer shall pay to Supplier the following amounts: (a) all Rental Payments and other amounts accrued and unpaid through the date of termination; (b) an early termination fee calculated as follows: (i) if termination occurs during the first twelve (12) months of the Minimum Rental Period or if the Minimum Rental Period is twelve (12) months or less, one hundred percent (100%) of the remaining Rental Payments due through the end of the Minimum Rental Period; (ii) if termination occurs during months thirteen (13) through twenty-four (24) of the Minimum Rental Period, seventy-five percent (75%) of the remaining Rental Payments due through the end of the Minimum Rental Period; (iii) if termination occurs after month twenty-four (24) of the Minimum Rental Period, fifty percent (50%) of the remaining Rental Payments due through the end of the Minimum Rental Period; and (c) all costs and expenses incurred by Supplier in connection with the recovery, collection, transportation, and reconditioning of the Equipment, including reasonable attorneys’ fees. The Parties acknowledge that the early termination fee represents a reasonable estimate of Supplier’s damages and is not a penalty.

13. Default and Remedies. Each of the following constitutes an “Event of Default“: (a) Customer fails to pay any Rental Payment or other amount due under these Terms within seven (7) days of the due date; (b) Customer breaches any other obligation under these Terms and fails to cure such breach within fourteen (14) days after written notice from Supplier; (c) Customer becomes insolvent, files or has filed against it a petition in bankruptcy, makes an assignment for the benefit of creditors, or has a receiver, trustee, or similar officer appointed over any substantial part of its assets; (d) Customer abandons the Equipment; or (e) Customer does or permits any act that jeopardizes Supplier’s title to or interest in the Equipment. Upon the occurrence of an Event of Default, Supplier may, without prejudice to any other rights or remedies: (i) terminate the rental immediately by written notice; (ii) enter any premises where the Equipment is located and retake possession of the Equipment without breach of the peace and without court order or other process of law, and Customer hereby irrevocably authorizes Supplier to do so; (iii) require Customer to return the Equipment to a location designated by Supplier at Customer’s sole expense; (iv) recover from Customer all amounts due under these Terms, including the early termination fee set forth in Section 12; (v) retain the Security Deposit; (vi) seek a writ of replevin, claim and delivery, or similar possessory action, or obtain injunctive or other equitable relief, in any court of competent jurisdiction to recover possession of the Equipment, and Customer consents to the entry of such relief and waives any requirement for the posting of a bond or other security in connection therewith to the fullest extent permitted by applicable law; and (vii) exercise any other right or remedy available at law or in equity. Customer shall cooperate fully with Supplier in the recovery of the Equipment and shall not obstruct or interfere with Supplier’s efforts to retake possession. All rights and remedies of Supplier are cumulative and not exclusive.

14. LIMITED WARRANTY. In the event of malfunction, failure, or poor or partial performance of the Equipment or any part of it during the Contract Period, Supplier’s sole obligation and Customer’s exclusive remedy shall be limited to Supplier repairing or replacing the affected Equipment or the relevant part, subject to the limitations set forth in Section 16. Customer shall be solely responsible for any fines, penalties, or other liabilities arising from its failure to comply with Applicable Laws.

19. Intellectual Property. Supplier reserves all right, title, and interest in and to all intellectual property rights in or relating to the Equipment, including without limitation: (a) all copyrights in any drawings, plans, diagrams, operation or installation manuals, specifications, component lists, illustrations, and images of the Equipment or any part thereof; (b) all design rights, patents, and patent applications relating to the Equipment or any part thereof; (c) all trademarks, service marks, trade names, and trade dress (whether registered or unregistered) used by Supplier in connection with the Equipment; and (d) all trade secrets and proprietary information embodied in or relating to the Equipment. The Customer shall use such information solely for the purposes of performing its obligations and exercising its rights under these Terms.

21. Assignment. Customer shall not assign, transfer, or sublease any of its rights or obligations under these Terms or with respect to any Equipment without Supplier’s prior written consent, which may be withheld in Supplier’s sole discretion. Supplier may freely assign its rights and obligations under these Terms.

22. Force Majeure. The Supplier shall give prompt written notice to the Customer and shall use commercially reasonable efforts to mitigate the effects of the event and resume performance. If a Force Majeure event continues for more than thirty (30) days, either Party may terminate the rental upon written notice without further liability (other than for amounts accrued prior to termination).

23. Governing Law. These Terms and all matters arising out of or relating hereto shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of laws principles.

24. No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving Party. Unless otherwise stated, all prices and amounts set out in an Order are exclusive of VAT which is payable to the Supplier in addition at the prevailing rate. No set-off rights apply in favor of Customer.

Security Deposit. Within five (5) Business Days of the date of the Order, Customer shall pay the Security Deposit to Supplier. Subject to these Terms, the Security Deposit shall be returned to Customer at the end of the Contract Period.

Maintenance and Service. Supplier shall carry out preventative maintenance of the Equipment at dates to be mutually agreed.

Early Termination. If at any point after an Order is placed Customer terminates or requests to terminate the rental prior to the expiration of the Minimum Rental Period, or if Supplier terminates the rental due to an Event of Default by Customer, Customer shall pay to Supplier the following amounts: (a) all Rental Payments and other amounts accrued and unpaid through the date of termination; (b) an early termination fee calculated as follows: (i) if termination occurs during the first twelve (12) months of the Minimum Rental Period, one hundred percent (100%) of the remaining Rental Payments due through the end of the Minimum Rental Period; (ii) if termination occurs during months thirteen (13) through twenty-four (24) of the Minimum Rental Period, seventy-five percent (75%) of the remaining Rental Payments due through the end of the Minimum Rental Period; (iii) if termination occurs after month twenty-four (24) of the Minimum Rental Period, fifty percent (50%) of the remaining Rental Payments due through the end of the Minimum Rental Period; and (c) all costs and expenses incurred by Supplier in connection with the recovery, collection, transportation, and reconditioning of the Equipment, including reasonable attorneys’ fees. The Parties acknowledge that the early termination fee represents a reasonable estimate of Supplier’s damages and is not a penalty.

EXCEPT FOR THE LIMITED WARRANTY EXPRESSLY SET FORTH IN THIS SECTION 14, THE EQUIPMENT IS PROVIDED “AS IS.” SUPPLIER MAKES NO OTHER WARRANTY WHATSOEVER WITH RESPECT TO THE EQUIPMENT, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, WHETHER EXPRESS OR IMPLIED, BY OPERATION OF LAW, COURSE OF DEALING, USAGE OF TRADE, OR OTHERWISE.

Customer shall indemnify, defend, and hold harmless Supplier and its officers, directors, employees, agents, shareholders, affiliates, successors, and assigns from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Customer’s possession, use, operation, maintenance, storage, or transportation of the Equipment; (b) any injury to persons or damage to property caused by or in connection with the Equipment while in Customer’s possession or control; (c) any breach by Customer of these Terms; or (d) any negligence or willful misconduct of Customer or its employees, agents, or contractors. This indemnification obligation shall survive the expiration or termination of the rental.

Limitation of Liability. SUPPLIER’S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE LESSER OF $10,000 OR THE TOTAL RENTAL PAYMENTS ACTUALLY PAID BY CUSTOMER TO SUPPLIER DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Customer’s Representations. Customer represents and warrants that: (a) it is duly organized, validly existing, and in good standing under applicable law; (b) it has full power and authority to enter into and perform its obligations under these Terms; (c) the execution and performance of these Terms will not conflict with any agreement to which Customer is a party or any applicable law; and (d) all information provided by Customer to Supplier in connection with the Order is true, complete, and accurate.

Compliance with Laws. Customer shall, at its sole cost and expense, comply with all applicable federal, state, and local laws, statutes, ordinances, rules, regulations, codes, and orders (collectively, “Applicable Laws“) relating to the possession, use, operation, maintenance, storage, and transportation of the Equipment, including without limitation all environmental, health, and safety laws and regulations. Customer shall obtain and maintain all permits, licenses, and approvals required under Applicable Laws in connection with its use of the Equipment and the operation of the Site. Customer shall be solely responsible for any fines, penalties, or other liabilities arising from its failure to comply with Applicable Laws.

Customer acknowledges that it shall acquire no rights in any such intellectual property by virtue of the rental or use of the Equipment, and all such rights are and shall remain vested solely in Supplier. Customer shall not reverse engineer, disassemble, or decompile the Equipment or any component thereof, nor shall Customer remove, alter, or obscure any proprietary notices, labels, or markings on the Equipment.

Confidentiality. The Customer shall keep confidential and shall not disclose to any third party any non-public information relating to the Supplier, its business, operations, products, services, pricing, equipment, or technology that is disclosed or made available to the Customer in connection with any Order, except to the extent required by law. The Customer shall use such information solely for the purposes of performing its obligations and exercising its rights under these Terms.

Assignment. Customer shall not assign, transfer, or sublease any of its rights or obligations under these Terms or with respect to any Equipment without Supplier’s prior written consent, which may be withheld in Supplier’s sole discretion. Any purported assignment or sublease without such consent shall be void. No permitted assignment or sublease shall relieve Customer of its obligations under these Terms. Supplier may freely assign its rights and obligations under these Terms.

Force Majeure. Supplier shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from circumstances beyond Supplier’s reasonable control, including acts of God, war, terrorism, civil unrest, government action, pandemic, epidemic, fire, flood, earthquake, labor disputes, or disruptions in transportation or supply chains.

Governing Law. These Terms and all matters arising out of or relating hereto shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of laws principles.

Dispute Resolution. These Terms, together with the applicable Order, constitute the entire agreement between the Parties with respect to the rental of the Equipment and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, relating to the subject matter hereof.

Amendments. No amendment or modification of these Terms shall be effective unless made in writing and signed by an authorized representative of Supplier. For the avoidance of doubt, Customer’s acceptance of the Equipment or payment of Rental Payments shall not constitute agreement to any terms other than these Terms.

Waiver. No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving Party. No failure or delay by either Party in exercising any right under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any other or further exercise of that right or the exercise of any other right.

Survival. The provisions of these Terms that by their nature are intended to survive expiration or termination, including without limitation the provisions relating to indemnification, limitation of liability, warranty disclaimer, governing law, and dispute resolution, shall survive the expiration or termination of the rental.

Updated October 2026

STANDARD TERMS AND CONDITIONS Short Term Rental STANDARD TERMS AND CONDITIONS Rental+ Updated October 2026

["post-1274","page","type-page","status-publish","hentry
["GET
